GQ SYSTEM SOLUTIONS – TERMS AND CONDITIONS OF SALE
1. Introduction
These Terms and Conditions govern the sale of IT products hardware, software, peripherals,
and related services by GQ System Solutions to the customer . By placing an
order, the Buyer agrees to these terms.
2. Order Process & Acceptance
- Orders must be submitted via official channels (website, email, or purchase order).
- GQ System Solutions reserves the right to accept, modify, or reject orders based on stock
availability, pricing accuracy, or fraud concerns.
- A binding contract is formed only upon written confirmation (email/order invoice) from the
Seller.
3. Pricing & Payment Terms
- Prices are subject to change without prior notice until order confirmation.
- Payment Methods:*Bank transfer, credit/debit card, or approved corporate credit terms.
- Taxes & Duties: All prices exclude VAT/GST or other applicable taxes unless stated.
- Late Payments: Overdue invoices may incur 1.5% monthly interest or order cancellation.
4. Delivery & Shipping
- Delivery Time: Estimated lead times provided are not guaranteed (subject to supplier delays).
- Shipping Costs: Buyer bears shipping & customs charges unless stated otherwise.
- Risk Transfer: Ownership and risk pass to the Buyer upon delivery.
5. Returns & Refunds Policy
- Defective Products: Must be reported within 7–14 days for replacement/refund (subject to
inspection).
- Non-Defective Returns: Only accepted if unopened & in original packaging restocking fee may
apply.
- Software & Licenses: Non-refundable once activated unless faulty.
6. Warranties & Support
- Hardware: Covered by manufacturer’s warranty (typically 1 year unless extended).
- Software: Subject to vendor’s license terms; GQ System Solutions provides no additional
warranties.
- Technical Support: Limited to installation guidance; advanced support may require a separate
agreement.
7. Liability & Disclaimers
- GQ System Solutions is not liable for:
- Data loss, corruption, or misuse of products.
- Third-party software/hardware compatibility issues.
- Indirect, consequential, or business interruption damages.
- Maximum Liability: Limited to the purchase price of the product.
8. Intellectual Property Rights
- All software licenses are non-transferable unless explicitly permitted.
- Unauthorized copying, reverse engineering, or resale of licensed software is prohibited.
9. Governing Law & Dispute Resolution
- These terms are governed by the laws of Ghana.
- Disputes shall first attempt amicable resolution; unresolved issues may proceed to courts in
Jurisdiction.
10. Force Majeure
- GQ System Solutions is not liable for delays/cancellations due to:
- Cyber-attacks, supply chain disruptions, natural disasters.
- Government restrictions or pandemics.
11. Amendments & Severability
- GQ System Solutions may update these terms; the latest version applies to new orders.
Additional Policies
- Bulk/Corporate Orders: Special pricing, extended payment terms (Net 30/60).
- Subscription Services: Auto-renewal, cancellation notice period.
- Data Privacy: Complies with GDPR/other regulations if handling customer data.
